Due Diligence Readiness Score

Selling, raising or merging? See how ready your company is for a buyer’s legal due diligence across twelve areas.

Corporate documents (MOA, AOA, shareholder agreement) current and signed
Regulatory approvals for your activities on file
Trade licence valid; no restriction on changing ownership
Loans and facilities listed, with any change-of-control or acceleration terms
Title deeds or leases for every property and key asset
Employment contracts, visas and end-of-service liabilities documented
Register of claims and disputes, past and current
Material contracts collected, with revenue share and termination rights
Trademarks registered; IP and source code owned by the company
Environmental permits (if your activity needs them)
Insurance policies current and adequate
IT systems, data protection and software licences documented

How this works

  • These are the twelve areas we review for buyers. Mark each as ready, partly ready or missing.
  • Ready counts as 1, partly as ½, missing as 0. Environmental, insurance and IT can be marked ready if they do not apply to your activity.
  • Every gap a buyer finds becomes a price reduction, an indemnity or a condition — fixing them first protects your valuation.

Estimates and checklists for general guidance only — not legal or tax advice on your situation.

Questions

How long does a buyer’s due diligence take?

Typically a few weeks for a small company with an organised data room — longer when documents have to be found or recreated.

What is a data room?

A secure, organised folder of the documents a buyer reviews, indexed by area so questions can be answered quickly.
