Fees
Clear fees, agreed before the work starts.
Every engagement is scoped and priced in writing before we begin. The first fifteen minutes are free, so we can both see whether the matter is a fit.
Initial consultation
A focused fifteen minutes on the matter itself — the position, the realistic options, and what a full engagement would involve.
- By phone or video call
- A short written summary afterwards
- No obligation to proceed
- Mon–Fri
- 19:00–23:00
- Sat–Sun
- 10:00–21:00
UAE time (GST, UTC+4)
Packages
Three ways the work is usually priced.
Where the scope is clear, fees are fixed in advance. Where it is not, we agree a cap — and tell you the moment a matter is heading towards it.

Due diligence scope
What the due diligence review covers.
Once the NDA is drafted and signed, the target is reviewed across twelve areas. Each is reported on, with the documents relied on noted.
- Corporate documents — MOA, AOA and any SHA — including whether it carries a change-of-control clause.
- Regulatory restrictions — Restrictions that apply to particular activities.
- Licensing — Whether any restriction applies to changing the ownership structure, and whether all regulatory requirements are met.
- Financing — Debts, loans and facilities, any covenant that could accelerate the debt, and the financial statements.
- Real estate & assets — Whether the company owns or leases them.
- Employment — Contracts, policies and liabilities to staff.
- Litigation — Proceedings where the company is claimant or defendant.
- Material contracts — Their terms, their share of revenue, and any unilateral termination right.
- Intellectual property — Registered marks, reliance on reputation, and the source-code register.
- Environmental — Where the company’s activity requires it.
- Insurance — Where the company’s activity requires it.
- IT — Where the company’s activity requires it.
After the review
A report, then the protections.
After the full review we issue a recommendations and red-flags report. Where there is a deal-breaker, we deal with it in the transaction documents rather than walking away from value.
- Recommendations and red-flags report
- Price reduction, indemnity, warranty or conditions precedent for any deal-breaker
- Then the share purchase agreement is drafted
